AUDOO AUDIO METER INSTALLATION AND USAGE TERMS
By agreeing to “Accept”, “Agree”, “Confirm”, “Submit” or other similar button or action during the registration or signup process for this agreement, or otherwise by agreeing to the installation of an Audoo Audio Meter at your Premises and taking part, you agree that you are bound by these terms and conditions, which form a binding agreement between us (the Agreement).
The Audoo Audio Meter and related technology is owned and operated by Audoo Limited. We are a company registered in England and Wales, with company number 11530289 and our registered office is Floor 4, 35 King Street, London, United Kingdom, WC2E 8JG.
In this Agreement we refer to Audoo Limited as Audoo, we, us, our etc; and we refer to you as a Premises Operator, you, your etc. When we refer to the Premises we mean the premises, property, business or other venue at which the Audoo Audio Meter will be installed.
AGREEMENT
- The Premises Operator confirms it has full right, power and authority to enter into this Agreement and to agree to the installation of an Audoo Audio Meter at the Premises.
- This Agreement may be entered into by an authorised representative of, and on behalf of, the Premises Operator, and the provisions agreed to here are binding on the Premises Operator and its representatives.
- If you are registering or signing up a Premises as a representative on behalf of a company, business or other organisation, or otherwise on behalf of a Premises Operator, you confirm that you have the authority to act on their behalf and to bind them legally as them as the Premises Operator.
- We will only use your sign up information, contact details and other personal information for the purposes of this Agreement, and to contact you with regard to the Audio Meter.
- The Agreement commences when your request to sign up is accepted by us, and continues until termination in accordance with this Agreement.
- The purpose of the Audio Meter is to identify music performed at the Premises, and for the related song list / meter data identifying the music, to be transmitted to Audoo. We use the data collected for analysis to assist with informing models and mechanisms around the accurate distribution of licence fees to PRO (rights organisations) members / the writers and composers of the music.
- The Audio Meter is only able to recognise the music played in the Premises. It has no other purpose and in particular is not able to record or listen to any human conversations.
- All data, information, learnings and know how generated by the Audio Meter in or related to the Premises will belong solely to Audoo. The song list / meter data collected is for internal Audoo use only, and any information shared about this (for example with rights organisations and/or partner entities) will always be anonymous and shared as aggregated information. There will never be information shared that directly references your premises or business.
- The Premises Operator agrees that Audoo may arrange for the installation of an Audoo Audio Meter at the Premises. Audoo or their representatives will be allowed to access to the Premises for the purpose of installing, maintaining, removing or otherwise dealing with the Audio Meter, provided reasonable notice is provided and the access is during usual business operating hours. Such work will be undertaken with all reasonable skill and care, using suitably qualified, trained and experienced personnel and in accordance with good practice.
- The Premises Operator, employees, agents, contractors or representatives must follow all instructions from Audoo in relation to the handling, positioning and operation of the Audio Meter. We ask that you keep the Audio Meter powered on during all public opening times. You must take all reasonable measures to protect the Audio Meter from any loss or damage. You should let us know as soon as possible if there are any problems with the Audio Meter by emailing support@audoo.com
- The Audio Meter is made available for use at the Premises, but remains the property of Audoo at all times. The Premises Operator, employees, agents, contractors and representatives must not attempt to copy, adapt, decompile, disassemble, reverse engineer or otherwise access all or any part of the Audio Meter and/or Audoo’s software.
- Audoo is responsible for and will provide reasonable compensation to the Premises Operator for any loss, cost or expense suffered or incurred by the Premises Operator during the period of installation, in relation to any property damage and/or any physical or personal injury caused by the Audio Meter, except as caused or contributed to by the Premises Operator, employees, agents, contractors and representatives. Audoo will have sole conduct of any third party claims in this regard.
- Audoo may terminate this Agreement at any time, on reasonable notice. On termination, Audoo (or their representatives) may access the Premises, on reasonable notice, for the purpose of de-activation and removal of the Audio Meter.
- This Agreement is under English law and subject to the jurisdiction of the English Courts.
